Foodcare Systems Limited Terms and Conditions Of Sale

Definitions

 Contract means any contract for the sale of goods by the Company to the Buyer

 Buyer means the customer of the Company

 the Company means Foodcare Systems Limited whose address is 1 North Lynn Business Village, Bergen Way, King’s Lynn, Norfolk, PE30 2JG

1. General

1.1 All dealings including all quotations and any other order placed following such quotation are subject to the following conditions of sale in which Foodcare Systems Ltd is referred to as ‘the Company’.

1.2 No order received from a customer by the Company and no purported variation of these terms shall constitute a contract until accepted in writing by the Company. The Company reserves the right to refuse any order, including subsequent to the sending of an order acknowledgement.

2. Prices

2.1 Prices quoted by the Company are current, however, the Company reserves the right to make adjustments due to currency fluctuations, any increase in the price of materials, labour, transport or costs of any kind arising for any reason after the date of the Contract. Prices exclude VAT.

2.2 At Foodcare we try to make sure that all prices on Foodcaredirect.com are correct but sometimes errors may occur. If we discover a pricing error for products on your order we will inform you as soon as possible using the contact details you supply. You will be given the option of reconfirming the order with correct prices or cancelling it. If the order is cancelled a full refund will be issued. If we are unable to reach you using the contact details supplied we will cancel and refund your order.

2.3 Carriage Charges - Standard Delivery Charges £6.50 ex VAT (£7.80 Inc VAT)

2.4 Free Delivery on orders over £65.00 ex VAT to UK Mainland Only.

2.5 Standard UK delivery excludes Northern Ireland, Scottish Highlands and Islands, Isle of Man and Isle of Wight. For these areas, see here. Orders placed in these areas without the correct shipping charge will automatically be cancelled.

3. Availability

3.1 We try to ensure Foodcaredirect.com is kept as up to date as possible however we cannot guarantee that certain products will always be available. If we can't supply a product on your order we will contact you immediately using the contact information supplied.

3.2 In the unlikely event that goods are not available we will issue a full refund.

4. Delivery

4.1 Any dates quoted by the Company for the delivery of the goods are approximate only and shall not form part of the Contract and the Buyer acknowledges that in the performance expected of the Company no regard has been paid to any quoted delivery dates.

4.2 The Company shall not be liable for any penalty, loss, injury, damage or expense arising from any delay or failure in delivery or performance from any cause at all nor shall any such delay or failure entitle the Buyer to refuse to accept any delivery or performance of or repudiate the Contract.

4.3 Our Standard Delivery service is 2-5 working days of confirming your order, however, occasionally delays can occur and deliveries can take up to 28 days.

6. Claims Notification

6.1 Any claim for non-delivery of goods shall be notified in writing by the Buyer to the Company within 3 working days of the date of the Company's invoice.

6.2 Any claim that any goods have been delivered damaged, are not of the correct quantity or do not comply with their description shall be notified by the Buyer to the Company within 3 working days of their delivery.

6.3 Any alleged defect shall be notified by the Buyer to the Company within 3 working days of the delivery of the goods.

6.3.1 Any claim under this condition must be in writing and must contain full details of the claim including the part numbers of any allegedly defective goods.

6.4 The Company shall have no liability with regard to any claim in respect of which the Buyer has not complied with the claims procedures in these conditions.

6.5 Any shortage or damage on delivery should, in the first instance, be reported by telephone immediately to the Company and confirmed in writing within 3 working days.

6.6 The Buyer will be issued with a ‘Returns Authorisation Number’, which must be used when returning the goods.

6.7 The cost of returning goods is the responsibility of the Buyer. The Company reserves the right to levy a 25% restocking charge for cancelled or unwanted orders.

7. Warranty

7.1 The goods supplied by the Company are supplied in accordance with the Manufacturers’ warranty, if any.

7.2 The Company shall have no liability to the Buyer for any loss (including loss of profit or other economic loss (direct or indirect), indirect or consequential loss) or damage of any nature (howsoever caused) or loss or damage (contractual, tortious, breach of statutory duty or otherwise) arising from any breach of any express or implied warranty or condition of the Contract or any negligence, breach of statutory or other duty on the part of the Company or in any other way out of or in connection with the performance or purported performance of or failure to perform the Contract except:

7.2.1 for death or personal injury resulting from the Company’s negligence

7.2.2 fraudulent misrepresentation; and

7.2.3 as expressly stated in these conditions.

7.3 In no circumstances shall the liability of the Company to the Buyer under this condition exceed the invoice value of the goods.

8. Payment

8.1 All invoices are payable within 28 days of the date of the Company’s invoice and in no circumstances shall the Buyer be entitled to make any deduction or withhold payment for any reason at all.

8.2 Without prejudice to any other rights of the Company if the Buyer fails to pay the invoice price by the due date the Buyer shall pay interest on any overdue amount from the date of which payment was due to the date of actual payment (whether before or after judgment) at the rate of 2.5% per month and shall reimburse to the Company all costs and expenses (including legal costs) incurred in the collection of any overdue amount.

9. Title

9.1 All goods supplied will remain the property of the Company until paid for in full.

9.2 The Company may at any time before title passes and without any liability to the Buyer:

9.2.1 for death or personal injury resulting from the Company’s negligence

9.2.2 for that purpose enter any premises of or occupied by the Buyer.

9.3 In no circumstances shall the liability of the Company to the Buyer under this condition exceed the invoice value of the goods.
